TERMS OF SERVICE
General
These conditions regulate the agreement relationship between PERISCOPE IT® and the monitoring service subscriber, below called the client.
PERISCOPE IT® reserves the right to change these conditions during the period of this agreement. Changes take effect as soon as they are published on Periscope IT's website.
Service description
PERISCOPE IT® offers monitoring services on behalf of the client's internet based services. When interruption of the service of the client occurs, a notification will be sent by means of e-mail or SMS as per the clients account settings.
PERISCOPE IT® offers statistical reports with information of response time and uptime, which will be sent to the client once a week. This statistical information is also available on our website and can be accessed via a secure client portal.
The nature of the service is that Periscope IT's servers send a request, or series of requests, over the internet to the service of the client. No software installations are required since the monitoring occurs via the internet from Periscope IT's servers. When monitoring more advanced services the client would be in need of a transaction robot. For a further technical explanation of these services one should visit the website of PERISCOPE IT®.
Service guarantee
PERISCOPE IT® guarantees that our system will always provide you with 100% accurate monitoring of your web services. If you ever feel that we have failed to detect an error (or have wrongly sent you an error notification or an OK notification), we will investigate the incident and if there was a failure, we will not charge you for that sensor for that month. To report errors or claim refunds please send full details of the problem to customercare@periscopeit.com. As soon as your error report has been received we will immediately investigate and report back to you. All refunds are paid by providing a discount on your next invoice. In the event that you cancel your subscription before we have an opportunity to honor your refund on a subsequent invoice we will then refund you the cash by means of electronic bank transfer. Please note that there are situations where comprehensive website testing can only be achieved using content monitoring. We strongly recommend that all clients make use of our content monitoring features so that we can provide the most comprehensive monitoring possible.
Payment
All payments must be settled within seven days of receipt of invoice. If the client orders a service where PERISCOPE IT® are requested to, or during the period of this agreement update or re-programme a transactional robot, the client may be charged for any additional programming required. The price will be set according to the valid pricelist of PERISCOPE IT® at the time that the programming is carried out.
Payments that are not made within the seven day time limit will incur interest charges at a market related rate as determined by PERISCOPE IT®. Accounts not settled within sixty days will be referred to a debt collection agency. Any costs incurred in the recovery of the debt will be payable by the client.
If payment is not received by PERISCOPE IT® within seven days, PERISCOPE IT® reserves the right to discontinue the service ten days after the due day of the invoice.
Period of contract
The contract runs for the period of time specified on the invoice and the service will be paid for monthly, quarterly, bi-annually or annually as specified on the invoice. Towards the end of the contract you will be sent a notification that the service is due for renewal and whether you wish to renew the contract. You are in no way obliged to renew the contract and the contract is not automatically renewed.
PERISCOPE IT® reserves the right to cancel this agreement with immediate effect at any time during the period of the agreement should the client fail to honour its obligations under the agreement or should PERISCOPE IT® feel that the client is unsuitable. In this instance the client will be refunded any fees that have been paid and for which services have not yet been delivered.
The responsibility of PERISCOPE IT®
PERISCOPE IT® is responsible for the delivery of the service agreed with the client.
PERISCOPE IT® is not responsible for damages and financial losses incurred by the client due to any performance failure on the part of PERISCOPE IT®. Indirect damages refer to, for instance, loss of data, loss of income, failure to fulfil obligations to a the third party etc.
Force majeur
PERISCOPE IT® is not liable for compensation for damages incurred as a result of delays, inoperativeness or any circumstances outside the control of Periscope IT, i.e. damage which was added to the client from the third party, working conflict (irrespective of if this comprises the staff of PERISCOPE IT® or not), accidents, restrictions of energy supply, absent deliveries from sub supplier, disturbances, war, strike of lightning, fire, explosion, rough weather, natural catastrophe.
Disputes
In the event of any dispute arising between PERISCOPE IT® and the client, both parties should in first hand negotiate and try to reach an agreement. If the parties cannot be reach an agreement the dispute shall be settled according to British law in a British general court of law.
